Terms and Conditions – Scanfence

1. Introduction

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User” or “You”) and Alpha Web Solutions and Services LLC (“Company,” “we,” “us,” or “our”), the operator of the Scanfence website (the “Website”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease use of the Website.

2. Nature of the Service

Scanfence is a verification platform that utilizes QR code technology and location services to validate physical presence at specific locations.

• Dual-Factor Authentication: You acknowledge that a successful “scan” requires two concurrent validations: (a) a readable QR code and (b) verification that your device is within the designated geographic boundary (“Geofence”).
• Access vs. Guarantee: The Website and its services act as validators only. We do not guarantee entry to venues, successful employee time-tracking, or processing of tickets if technical limitations (e.g., poor lighting, damaged codes, or no GPS signal) prevent verification.

3. Permissions and Privacy

Your use of the Website and associated services may require access to certain device permissions when using our web-based scanning features:

• Location Services: You authorize the Website to access your device’s location services to verify your location during a scan. We do not track your location continuously.
• Camera Access: You authorize the Website to use your camera solely for the purpose of detecting and decoding QR codes.
• Data Association: You agree that when you scan a QR code, we will record and associate your User ID, the timestamp, the specific QR code data, and your geolocation at that moment.

4. User Conduct and Anti-Spoofing

You agree to use Scanfence honestly and for its intended verification purposes. You are strictly prohibited from:

• GPS Spoofing: Using “mock location” apps, VPNs, emulators, or any other software/hardware to falsify your physical location to bypass a Geofence restriction.
• Proxy Scanning: Scanning a code on behalf of another individual, or sending a photo of a QR code to another user to scan remotely (“Buddy Punching”).
• Code Tampering: Creating, printing, or distributing counterfeit QR codes intended to trick the Website or its users.
• Unauthorized Access: Attempting to gain unauthorized access to any portion of the Website, other accounts, or computer systems connected to the Website.

5. Service Limitations and Liability

• Scan Failures: We are not liable if you are unable to complete a scan due to: (a) damaged, faded, or obstructed QR codes; (b) poor lighting conditions; (c) failure of your device’s camera; or (d) “GPS Drift” where your device incorrectly places you outside the Geofence.
• Network Dependency: A valid scan may require an active internet connection to validate the code against our server. We are not responsible for scan failures due to lack of cellular data or Wi-Fi.
• Battery Usage: You acknowledge that use of location services may decrease battery life. We are not liable for data loss or emergency situations resulting from a depleted battery.

6. Account Responsibilities

If you create an account on the Website:

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to notify us immediately of any unauthorized use of your account.
• You are responsible for all activities that occur under your account.

7. Intellectual Property

All content on the Website, including but not limited to text, graphics, logos, software, and design elements, is the property of Alpha Web Solutions and Services LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Disclaimer of Warranties

THE WEBSITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHA WEB SOLUTIONS AND SERVICES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE GEOLOCATION TECHNOLOGY WILL BE PRECISE ENOUGH TO DISTINGUISH BETWEEN ADJACENT ROOMS OR BUILDINGS. YOU ASSUME THE RISK THAT A VALID SCAN MAY BE REJECTED IF YOUR DEVICE’S GPS ACCURACY IS INSUFFICIENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA, OR WAGES (FOR TIME-TRACKING USERS), OR FAILURE OF THE WEBSITE TO VALIDATE YOUR ENTRY. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10. Termination for Fraud

We reserve the right to immediately suspend or permanently ban your account if our fraud-detection algorithms detect patterns consistent with location spoofing, QR code manipulation, or violation of these Terms. In such cases, we may report this activity to the entity requiring your verification (e.g., your employer or event organizer).

11. Indemnification

You agree to indemnify, defend, and hold harmless Alpha Web Solutions and Services LLC from any claims, liabilities, damages, and expenses (including legal fees) arising from your fraudulent use of the Website, including but not limited to claims of wage theft (for time-tracking uses) or unauthorized access to secure areas.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Website with an updated “Last Updated” date. Your continued use of the Website after such changes constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Bernalillo County, New Mexico.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
